These Terms & Conditions (“Terms”) constitute a legally binding agreement between Apex Fulfilment (“Company,” “we,” “our,” or “us”) and the client or website user (“you” or “Client”). By accessing our website or availing our services, you agree to comply with and be bound by these Terms.
1. Services
Apex Fulfilment provides eCommerce order fulfilment, warehousing, logistics, and related services. The scope, pricing, and duration of services shall be governed by written agreements or invoices issued by Apex Fulfilment.
2. Client Obligations
⦁ You agree to provide accurate, complete, and lawful order, inventory, and customer data.
⦁ You warrant that all goods entrusted to Apex Fulfilment comply with applicable laws and do not include prohibited, restricted, or illegal items.
⦁ You agree to settle all service fees, charges, and courier costs within the agreed payment period.
3. Payment Terms
⦁ Payment shall be made in accordance with the terms set forth in invoices or service agreements.
⦁ Apex Fulfilment reserves the right to withhold shipments, inventory, or suspend services for delayed or unpaid invoices.
⦁ Any applicable taxes, duties, or government levies shall be borne by the Client.
4. Liability & Limitations
⦁ Apex Fulfilment will take reasonable care in handling and storing goods. However, liability for lost, stolen, or damaged goods shall be limited to the extent covered by the courier’s or warehouse’s insurance policies, unless otherwise agreed in writing.
⦁ We are not responsible for losses arising from inaccurate client data, non-serious or fraudulent orders, or customer-related cancellations.
⦁ Apex Fulfilment shall not be liable for indirect, incidental, or consequential damages, including loss of sales, profits, reputation, or business opportunities.
5. Intellectual Property
All content, branding, text, images, and designs on the Apex Fulfilment website are the intellectual property of Apex Fulfilment and may not be copied, reproduced, or used without prior written consent.
6. Website Use
⦁ Users shall not engage in unlawful, fraudulent, or disruptive use of the website.
⦁ Apex Fulfilment may suspend or terminate website access at its discretion.
7. Amendments
Apex Fulfilment reserves the right to amend or update these Terms at any time. The updated Terms will be published on the website, and continued use of services shall constitute acceptance of the revised Terms.
8. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Pakistan. Any disputes arising shall be subject to the exclusive jurisdiction of the courts in Karachi, Pakistan.
